1.Agreement and eligibility
These XLorry SaaS Service Terms (“Terms”) form an agreement between XLORRY SDN. BHD. (BRN 202601019593) (“XLorry”) and the company, transporter, individual lorry operator or other business named during registration (“Transporter”, “you” or “your”). They govern access to and use of XLorry SaaS.
By registering, accepting these Terms or using XLorry SaaS, you confirm that you are at least 18 years old, have legal capacity, and are authorised to bind the registered business. XLorry may accept or reject an application and may require verification before activating an account.
2.What XLorry SaaS provides
XLorry SaaS is a software service that helps transport businesses manage customer profiles, booking requests, quotations, drivers, lorries, job status, proof of loading (POL), proof of delivery (POD), records, billing information and related communications.
XLorry SaaS is separate from the XLorry freight marketplace. Unless a specific job is expressly placed through the marketplace under separate terms, XLorry is not a party to any transport contract between you and your customer and does not provide, arrange, broker, supervise or guarantee the transport service.
3.Your account
- Provide complete, accurate and current information and keep editable details updated.
- Protect your tenant code, activation links, OTPs, sessions and devices, and permit access only to authorised users.
- Notify XLorry promptly if an account, link or device may be compromised.
- Accept responsibility for actions performed through your account unless caused by XLorry’s breach.
- Legal company name, BRN/SSM and registered WhatsApp may be locked and changed only after XLorry verification.
- XLorry may limit active sessions or devices for security and service integrity.
4.Your customers, drivers and users
You control whom you invite and authorise. You are responsible for your customer relationships, quotations, job commitments, drivers, employees, contractors and vehicles, including their conduct and access to XLorry SaaS.
You must ensure users receive appropriate instructions, use only their own authorised access, and stop using the service when access is withdrawn. You must promptly revoke or request revocation of access that is no longer required.
5.Your legal and operational responsibilities
- Maintain all business registrations, licences, permits, road tax, insurance and approvals required for your operations.
- Use qualified, licensed and medically fit drivers and roadworthy vehicles suitable for each job and cargo.
- Comply with Malaysian transport, road-safety, employment, tax, consumer, anti-corruption, sanctions and other applicable laws.
- Check booking information, cargo requirements, route restrictions, site conditions and customer instructions before accepting or performing a job.
- Issue quotations, invoices and tax documents and manage collection, refunds, credit terms and bad debt directly with your customers unless XLorry expressly offers a separate payment service.
- Handle complaints, loss, damage, delay and disputes arising from your transport services.
- Do not represent that XLorry endorses, certifies, employs or acts as agent for you, your drivers or your services.
6.User-declared information and credentials
Information, documents and credentials uploaded to XLorry SaaS are user-declared. Unless XLorry expressly states otherwise in writing, XLorry does not independently verify, certify or guarantee any company, driver, vehicle, licence, permit, insurance, cargo or customer information.
You must check accuracy, validity, expiry and suitability before relying on a record. A field, badge, upload status or system display does not constitute legal verification, approval, insurance advice or a guarantee.
7.Bookings, quotations and job records
A customer booking request is a request for your review, not an acceptance or guarantee by XLorry. You decide whether to quote or reject. A transport contract arises only between you and the customer according to the quotation and acceptance they exchange.
You and authorised users must keep status updates, assignments, POL, POD, timestamps, notes and other records accurate. System records may support administration or dispute review but do not conclusively determine legal responsibility. You should preserve any additional evidence required for your business or by law.
Cancellation of an accepted booking within XLorry SaaS reflects that booking’s status in the platform only and does not itself determine, waive or extinguish any right to payment between you and your customer for services already performed.
8.WhatsApp, SMS and email
XLorry SaaS may send transactional account, security, booking, quotation, status, proof, complaint and billing messages through WhatsApp, SMS or email. Delivery depends on third-party providers, networks and accurate contact details and is not guaranteed.
You must obtain any notice or consent required before providing another person’s contact details or causing messages to be sent. You must not use the service for spam, unsolicited marketing, harassment or unlawful content.
9.Plans, trial and payment
During a pilot or trial (“Pilot Period”), access may be offered without charge, with limited functions, duration, capacity or support. XLorry may change or end Pilot Period features on reasonable notice.
Any paid plan, lorry-slot limit, tax, billing cycle, renewal arrangement and payment method will be disclosed before charges apply. No paid renewal will be imposed solely under these Terms during a Pilot Period without your agreement to the applicable commercial offer. Amounts properly charged are non-refundable except where required by law or expressly stated in that offer.
10.Acceptable use
- Do not use XLorry SaaS for unlawful, fraudulent, unsafe, abusive or misleading activities.
- Do not upload malware, prohibited content, excessive data or material that infringes another person’s rights.
- Do not probe, bypass or interfere with security, access controls, tenant separation, rate limits or service operation.
- Do not copy, scrape, reverse engineer, resell or provide the service to another business except as expressly permitted.
- Do not use another tenant’s data or credentials or attempt unauthorised access.
- Do not use generated records to falsify delivery, credentials, billing or evidence.
11.Data, privacy and confidentiality
Each party must comply with applicable privacy law. For operational personal data that you control, you instruct XLorry to process it only to provide, secure, support and improve XLorry SaaS, comply with law and as otherwise described in the XLorry SaaS Privacy Notice.
You must have lawful authority to collect, upload, disclose and use all data submitted by you or your users. You must respond to data-subject requests relating to your operations, and XLorry will provide reasonable assistance where required.
Each party must protect the other party’s non-public business information and use it only for this agreement, except for information that is public without breach, independently developed, lawfully received from another source, or required to be disclosed by law.
12.Ownership and licence
XLorry and its licensors own XLorry SaaS, its software, design, branding, documentation and related intellectual property. No ownership transfers to you.
You retain ownership of content and business data you submit. You grant XLorry a limited licence to host, copy, transmit, display, back up and otherwise process that content as necessary to provide, secure and support the service, comply with law and enforce these Terms.
Feedback may be used by XLorry without restriction or payment, provided it does not identify your confidential information or personal data unlawfully.
13.Availability, changes and support
XLorry aims to provide a reliable service but does not guarantee uninterrupted, error-free or fully secure operation. Maintenance, internet failures, third-party services, security incidents and events outside reasonable control may affect availability.
XLorry may update features, workflows and security controls. Material reductions to paid core functionality will receive reasonable notice where practicable. Pilot functions may change more frequently. Support is provided through the stated admin contact during reasonable operating periods and is not an emergency service.
14.Suspension and termination
XLorry may suspend or restrict access where reasonably necessary for security, suspected fraud, unlawful use, non-payment, serious or repeated breach, risk to other users or compliance with law. Where appropriate, XLorry will give notice and an opportunity to remedy.
You may stop using the service and request account closure. On termination, access ends and outstanding amounts remain payable. Subject to security, legal holds and retention duties, XLorry will provide a reasonable opportunity to obtain available business records before deletion or anonymisation. Export formats and assistance may depend on the plan and technical feasibility.
15.Disclaimers and limitation of liability
XLorry SaaS is provided on an “as available” basis. To the maximum extent permitted by law, XLorry excludes implied warranties of merchantability, fitness for a particular purpose, non-infringement and that the service will meet every business, legal or evidentiary requirement.
XLorry is not liable for transport performance, cargo loss or damage, injury, delay, customer non-payment, driver or vehicle conduct, inaccurate user data, third-party communications, or decisions made from user-declared information.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profits, revenue, goodwill or anticipated savings. XLorry’s aggregate liability arising from XLorry SaaS will not exceed the fees paid or payable for the service during the 12 months before the event giving rise to the claim, or RM500 if the claim arises during a Pilot Period. This limitation does not apply where liability cannot lawfully be limited, or to fraud or wilful misconduct.
16.Indemnity
To the extent permitted by law, you will indemnify XLorry against third-party claims, losses and reasonable costs arising from your transport services; your customers, drivers, vehicles or cargo; your breach of law or these Terms; inaccurate or unlawful data supplied by you; or infringement caused by your content, except to the extent caused by XLorry’s breach, negligence or wilful misconduct.
17.General
XLorry may update these Terms by posting a new version and, for material changes, giving reasonable notice through the service or registered contact channels. Continued use after the effective date constitutes acceptance where permitted by law; if you disagree, you may stop using the service before the change takes effect.
You may not assign this agreement without XLorry’s consent. XLorry may assign it as part of a restructuring, financing, merger, acquisition or sale of business, subject to applicable law. Failure to enforce a term is not a waiver. Invalid provisions will be adjusted or removed without affecting the remainder. Neither party is liable for delay caused by events beyond reasonable control.
These Terms are governed by Malaysian law. The parties should first attempt in good faith to resolve a dispute through the admin contact. If unresolved, the courts of Malaysia have jurisdiction. Notices to XLorry must be sent to the contact details below; notices to you may be sent to the registered email or WhatsApp number.
